("Flow Inventory", "Company", "we", "us", "our"). These Terms govern your access to and use of our AI-powered inventory management platform, including our website, mobile applications, APIs, and all related services (collectively, the "Platform" or "Services").

BY ACCESSING OR USING OUR PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. If you do not agree to these Terms, you are prohibited from using or accessing our Platform.

Flow Inventory operates as a technology platform that provides inventory management, cataloging, and organization tools for professional dealers and collectors in the coins and collectibles industry.

2. Eligibility and Account Registration

2.1 Intended Use

Flow Inventory is designed for professional dealers, collectors, and businesses in the coins and collectibles industry. By using our Platform, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding agreements
• You will use the Platform in accordance with all applicable laws and regulations
• You will provide accurate and complete information during registration
• You will maintain the security of your account credentials

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorized access to your account
• Use strong, unique passwords for your account
• Not share your account credentials with third parties
• Log out of your account when using shared devices

3. Subscription and Fees

3.1 Subscription Plans

Access to the Platform requires an active subscription. You agree to:

• Pay all applicable subscription fees as described in your plan
• Provide valid payment information and authorize automatic renewals
• Understand that subscription fees are non-refundable except as required by law

We reserve the right to modify subscription fees with 30 days' notice to active subscribers.

3.3 Free Trial

We may offer free trial periods for new users. At the end of the trial period, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends. All fees are clearly displayed in your account settings and subscription details.

4. Platform Use and Content

4.1 Your Content

You retain ownership of all content you upload to the Platform, including inventory data, images, descriptions, and other materials. By using the Platform, you:

• Grant Flow Inventory a limited license to store, process, and display your content as necessary to provide the Services
• Represent that you have the right to upload and use all content
• Are responsible for maintaining backups of your important data
• Understand that AI features may analyze your content to provide enhanced services

4.2 Acceptable Use

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Upload content that infringes on intellectual property rights
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Interfere with or disrupt the Platform's operation
• Use automated systems to access the Platform without permission
• Upload malicious code or harmful content

5. AI Features and Services

Flow Inventory incorporates AI-powered features to assist with inventory management:

• Image Recognition: Automatic identification and cataloging of coins and collectibles
• Value Estimates: AI-generated price estimates based on market data
• Description Generation: Automated item descriptions and categorization

6. Data and Privacy

6.1 Data Ownership

You retain full ownership of your inventory data. Flow Inventory processes your data solely to provide the Services. We do not sell your personal data to third parties.

6.2 Data Export

You may export your inventory data at any time using the export features available in the Platform. Upon account termination, you will have a reasonable period to export your data before it is permanently deleted.

6.3 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in our Privacy Policy.

7. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, software, and trademarks, are the property of Flow Auctions Inc. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform without our prior written consent.

By uploading content to the Platform, you grant Flow Inventory a non-exclusive, worldwide, royalty-free license to use, display, and process your content solely for the purpose of providing and improving the Services.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• Flow Inventory is not responsible for the accuracy of AI-generated valuations, identifications, or descriptions
• We do not guarantee uninterrupted or error-free service
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total liability to you shall not exceed the fees you paid to Flow Inventory in the 12 months preceding the claim
• We are not responsible for data loss; you are responsible for maintaining backups of your important data

9. Indemnification

You agree to indemnify, defend, and hold harmless Flow Auctions Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us to attempt to resolve any dispute informally. We will work in good faith to address your concerns.

10.2 Arbitration

Any disputes between you and Flow Inventory that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class actions or class arbitrations.

11. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct that harms the Platform or other users. Upon termination:

• Your access to the Platform will be revoked
• You will have 30 days to export your data before permanent deletion
• No refunds will be issued for the current billing period
• You remain liable for any obligations incurred prior to termination

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Platform. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
